Global Alliance Legal Counsel

Performs legal analysis tasks for business needs related to
practice area(s). Performs legal research for business needs
related to practice area(s) and recommends appropriate strategies
to senior legal personnel. Drafts, reviews and/or negotiates legal
documents for business needs related to practice area(s). Takes
responsibility for departmental projects outside of primary
practice area(s). Responds to internal and external legal
inquiries. Recommends changes to organizational policies/procedures
involving legal issues. Understands, follows and enforces Legal
Department policies and procedures. Anticipates and guards against
legal risks involving the organization.
Subject matter expert in at least one relevant area of law.
Handles sensitive and complex legal issues relating to the
corporation. Decisions affect a major portion of a business/legal
strategy. Errors in work may cause considerable increase in legal
risk to the organization and may result in expense to Dell.

What youll achieve
As a Global Alliance Legal Counsel you will review, analyze, and
negotiate global sales agreements and supporting transactional
arrangements with some of Dells largest global commercial partners,
provide guidance on compliance, advise on partner program
requirements and a broad range of legal issues.
Lead negotiations and draft contracts for the sale of
information technology products and services to system integrators,
cloud service providers, outsourcers (including managed service and
professional service engagements).
Collaborate with Sales, Operations, Finance and Marketing to
support the goals of the Global Alliance sales team and mitigate
both business and legal risk.
Advise and support the business on partner escalations and
unique areas of exposure.
Advise on compliance and regulatory matters applicable to
partners, including competition laws, distribution requirements,
data privacy, FCPA and technology export restrictions.

JD degree with admission to at least one state bar.
5+ years relevant experience in a law firm and/or in-house legal
Experience in drafting and negotiation of a wide range of
technology related commercial agreements, including
hardware/software and services, teaming agreements and resell
Experience with intellectual property and software licensing and
commercial contracts laws.
Interacting effectively with senior management and sales
Experience with different international business practices and
regulations related to resellers and distributors, including
Experience with software revenue recognition issues.
Comprehensive knowledge of legal research skills and decision
Ability to apply known legal principles to an unfamiliar set of
Ability to influence, persuade and negotiate.
Ability to assess risk and identify actions to mitigate
